INTERPLAY BETWEEN INSOLVENCY LAW AND INTELLECTUAL PROPERTY RIGHTS
The intersection of insolvency law and intellectual property rights (IPRs) presents a complex legal landscape, especially in an era where intangible assets increasingly define corporate value. As businesses facing insolvency often hold significant IP portfolios—including trademarks, copyrights, patents, and trade secrets—the treatment of such rights during insolvency proceedings raises critical questions regarding ownership, valuation, protection, and transferability. This paper explores the legal and practical tensions between preserving the economic value of IP assets and the equitable distribution of debtor assets under insolvency law. It examines how the Insolvency and Bankruptcy Code (IBC), 2016 in India addresses IP-related concerns, including moratorium provisions, asset realization, and the position of IP licensees. The study also draws on international frameworks such as the U.S. Bankruptcy Code and the UNCITRAL Model Law to offer comparative insights.
